Walkers acted as Cayman Islands counsel to the Company in connection with the merger of Fullerton Healthcare Corporation Limited with Fullerton Healthcare Corporation Limited (an RRJ controlled entity) to effect an equity injection by private equity firm RRJ Capital totalling S$390 million (about US$283 million).The surviving company following the merger is Fullerton Health Corporation Limited.
The Walkers team advising Fullerton Healthcare Corporation Limited on the merger was led by James Twigg (Partner) with support from Tania Toh (Partner) and Katherine Zeng (Associate).
Prior to the successful merger, Walkers advised Fullerton Health on its opposition to a winding up petition that had been filed against the Company in the Cayman Islands courts by the Company's co-founders. A definitive settlement agreement was reached and the co-founders withdrew their petition. The dispute was handled by Robert Foote (Partner) and Adam Hinks (Partner) in Singapore, Joanne Collett (Partner) in Hong Kong, and Barnaby Gowrie (Partner), Niall Hanna (Senior Counsel) and Chaowei Fan (Associate) in the Cayman Islands.
