Studio Legale Sutti (
http://www.sutti.com) advised Finnish international TLC manufacturer Elcoteq SE. (http://www.elcoteq.com) in a complex corporate deal worth in the region of 90 Ml Euros involving the worldwide outsourcing of critical industrial processes by Andrew Corp. (http://www.andrew.com), the purchase of the assets of its Italian subsidiary, the acquisition of Andrew Romania and the licencing of related software and know-know. Stefano Sutti, who coordinated the multinational SLS taskforce involved in the deal, remarks: "Compliance with the severe time constraints for the completion of the transaction was only possible because of our traditional expertise in the high-tech sector, and of our direct presence in Romania, where we are one of the leading corporate and IP practice. Another critical issue was to avoid that the Italian part of the deal were construed as a transfer of a business division, especially in the light of the redundancy programme subsequently announced by Andrew Italia". Andrew Corp was advised in the deal by Sonnenschein, Nath e Rosenthal LL.P. (http://www.sonnenschein.com) and Deloitte (http://www.deloitte.com), who instructed Gianni Origoni (http://www.gop.it) in Italy and Salans (www.salans.com) in Romania.
