Advised BlueCity Holdings Limited ("BlueCity"), a leading online LGBTQ platform, in relation to its take-private transaction. The transaction completed on 12 August 2022 representing an equity value of about US$60 million. The take-private transaction was completed as a Cayman Islands statutory merger, under which the existing shareholders of BlueCity had their shares cancelled in exchange for merger consideration of US$3.20 per share or US$1.60 per American depositary shares of the Company. As a result of the merger, BlueCity has become a privately held company and de-listed from NASDAQ Global Select Market. The buyer group comprised of Baoli Ma, a director of BlueCity and chief executive officer, Metaclass Management ELP and CDH Entities, Aviator D, L.P. and Rainbow Rain Limited. A team of corporate lawyers based in the firm's Hong Kong office acted as Cayman Islands counsel to BlueCity and was led by Corporate Partner, Karen Zhang Pallaras with assistance from Corporate Associate, Vivian Lee.
