On 22 October 2019, the second session of a joint Redcliffe Partners and Clifford Chance legal executive course (LEC) was held in Kyiv. This time it was dedicated to English and US share sale and purchase agreements (SPAs), including conditions precedent, warranties, limitations on the seller's liability, other common provisions and purchase price adjustments.
Nick Fletcher, Of Counsel at Clifford Chance Warsaw, delivered the presentation, while Zoryana Sozanska-Matviychuk, Partner and Head of M&A at Redcliffe Partners, acted as a moderator, providing her insights on the Ukrainian aspects of this topic. Nick said it was great to meet such a prestigious cross-section of Kyiv's general counsel community.
