Barnes & Thornburg served as legal advisor to BrightSpring Health Services, a provider of home and community-based health services, in an $823 million secondary offering by selling stockholders.
The selling stockholders, including affiliates of Kohlberg Kravis Roberts & Co. and certain members of BrightSpring's management team, received all of the proceeds from the offering of 20 million shares. The company also purchased 1.46 million shares from the underwriter as part of the offering.
The offering and share repurchase closed on March 4, 2026.
Based in Louisville, Kentucky, BrightSpring delivers complementary home- and community-based pharmacy and provider health services to complex populations in need of specialized and/or chronic care. The company operates in 50 states, serving more than 465,000 patients daily through its approximately 10,500 clinical providers and pharmacists.
