2019年7月11日,中国互联网协会在中国互联网大会上正式发布《2019中国社交电商行业发展报告》(以下简称《报告》),报告预计,2019年我国社交电商市场规模将超2万亿元,同比增长63.2%;从业人员规模将达4801万人,同比增长58.3%,社交电商呈现出蓬勃发展之态。然而,社交电商在快速成长中也出现虚假宣传、非法传销等问题,亟需平台建立内控管理制度,以规范运营、健康发展。

社交电商区别于传统电商,是以"人"为核心,基于人际关系网络,利用互联网社交工具,从事商品交易或服务提供的一种迅速发展的新兴电子商务模式。然而,社交电商"山寨产品泛滥"、"虚假广告宣传"、"涉嫌传销"等等标签,对其行业形象和市场生态均造成一定的负面影响。

为规范社交电商合规经营,商务部发布了《社交电商经营规范》(征求意见稿)(下称"《规范》"),目前已进入审核环节。本文就《规范》涉及的社交电商经营规范、宣传规范、消费者权益保护、主体责任承担、争议解决五个方面,进行系统化的细致梳理与总结,希冀能够为社交电商规范经营和创新发展提供合规指引。

一、社交电商经营规范

社交电商因其社交属性,若稍有不慎,容易触碰传销、非法集资等"高压线",并为此付出"高昂学费"。对此,《规范》从市场主体依法登记、严禁传销、严禁非法集资、依法纳税等方面作出规定,明确社交电商与违法行为的界限,为社交电商规范运营作出指引。
