The Office of the Comptroller of the Currency ("OCC") published a new "Business Combinations" booklet of the Comptroller's Licensing Manual. The new booklet is a revision of the publication issued in December 2006. The revised booklet incorporates updated procedures and requirements to reflect the integration of Office of Thrift Supervision functions into the OCC, as well as revised regulations that became effective on July 1, 2015.

Specifically, the booklet outlines (i) policies and criteria that the OCC takes into account when evaluating applications from banks seeking to execute business combinations and (ii) the application process, including the pre-filing, filing and review, decision, and post-consummation stages. It also includes guidance on certain application requirements, and lists other resources that can be useful during the filing process.
