The Federal Trade Commission ("FTC") approved amendments to clarify the Hart-Scott-Rodino Act Premerger Notification Rules and to simplify corresponding report ("HSR Form") filing instructions.
The changes are intended to clarify the language of the Premerger Notification Rules to "make them easier for potential filing parties to apply," and also to simplify HSR Form filing instructions. The FTC amendments provide for the use of email in certain circumstances, including the sending of notice letters and the granting of early termination requests.
The changes are scheduled to become effective 30 days after publication in the Federal Register.
